Banks Peninsula Netball Club Incorporated CONSTITUTION

The Society is constituted by resolution 15th February 2018.


1. Name

The club will be called Banks Peninsula Netball Club (hereafter referred to as the “Club”)


2. Registered address

The registered office of Banks Peninsula Netball club shall be at such place or places determined by Banks Peninsula Netball Committee (hereafter referred to as the “Committee”) and notified to the registrar of the incorporated societies as required from time to time.


3. Aims and objectives

1.To encourage and promote the growth and Development of:

  1. Netball in the Banks Peninsula
  2. The Club’s players, coaches and umpires through organised teams, training and competitions
  3. The Club’s members to ensure that they have the opportunity and skills to fill the roles of administrators, coaches, team selectors, team management, umpires and other club roles.

2.) Be a member of Selwyn Netball Centre, Netball Mainland Zone and NNZ and as such enforce the rules and regulations of such organisations.

3.) To manage and control the resources of the Club


4. Membership

1.Membership of the club shall be on an annual basis from AGM to AGM

2. Membership shall consist of:

a) Playing members - Any person interested in playing netball for the club is eligible to become a member. All playing members will be subject to an annual subscription fee. All playing members will adhere to the constitution and accept the regulations, policies and codes of conduct that the club has adopted.

b.) Non-Playing Members - A person who is appointed to a club role which is accepted by the committee is eligible to be a member.

c.) Life Members - Life membership may be given to a member who has given “outstanding service” to the Club over many years. Nominations must be submitted to the Committee for consideration prior to the AGM. It shall be decided at the AGM and must have a 2/3 majority of those members present to be approved.

d.) Patron – to be finalised at the Annual General meeting and must have a 2/3 majority of those members present to be approved.

                   

5. Subscription Fees

Membership fees will be set annually and agreed by the Committee at the Annual General Meeting or at the first committee meeting of the new year.  A Subscription fee will be payable on joining the club

A player is deemed to be not financial (therefore unable to vote or play for the club) if subs are not paid before the first competition game unless prior arrangements have been made with the Committee.


6. Colours

The colours of the club shall be Maroon/Gold dresses and hoodies. Bibs will be maroon with gold writing. Tracksuits (if applicable) will be Maroon, Gold and Black and any changes must be submitted to the Committee for consideration and permission must be sort from SNC.

Junior players may wear thermal tops beneath their dresses. These must be black.

Black netball shorts to be worn and must not be longer than the dress. Socks are to be white.


7. Conduct of members

The Committee shall have the power to enquire into the conduct of any member and impose a penalty affecting their participation in the game of netball for the Banks Peninsula Netball Club.




8. Officers of the club

The Officers of the Club who will constitute the Committee shall consist of:

a.) President

b.) Vice President (if any)

c.) Secretary

d.) Treasurer

e.) Six to eight other Officers as elected at the AGM.

f.) The above elected people shall form the Committee.

g.) The Officers of the Club shall hold office until the next AGM

h.) Prior to the AGM, the President shall call for nominations for the various offices. The officers may be nominated verbally at the AGM. Nominations must be seconded and must have the consent of the nominee in writing (unless they are present at the meeting). If nominations exceed the number required to fill any office, a ballot shall be held during the AGM.

i.) In the event of a lack of nominations for Officers of the Club or if a vacancy arises during the year, the Committee shall have the power to appoint any person to such a position.

j.) The Committee are given the power to co-opt other Committee members as it sees fit to carry out general roles of the Committee


9. Duties of the President

  1. Act as chairperson of all committee and the annual general meetings of the club
  2. Write an annual report of the club and submit it to the Annual General Meeting.


10. Duties of the Vice President

Chair and convene meetings in the absence of the president


11. Duties of the Secretary.

  1. Liaise with the president
  2. Give 14 days’ notice in writing of the Annual General Meeting stating business to be transacted – This will be advertised in the Akaroa Mail and on Facebook.
  3. Give seven days’ notice of any special general meeting stating business to be transacted – This will be advertised in the Akaroa Mail and on Facebook.
  4. Conduct all general correspondence.
  5. Keep minutes of all meetings
  6. Liaise with Selwyn Netball Centre


12. Duties of the Treasurer

  1. Receive all monies, pay all accounts
  2. Maintain accurate records of all transactions
  3. Present a financial report at each committee meeting and as requested by the committee
  4. Tender accounts to members for subscriptions
  5. Liaise with the president on financial matters.
  6. Prepare financial statements as at 31 October in each year and submit these to the Annual General Meeting


13. Committee Powers and duties

  1. The Committee, as elected at the AGM, shall carry out the day to day running of the Club

2.     The Committee will be responsible for adopting new policy, codes of conduct and rules that affect the organization of the club.

3.     The Committee will hold at least bi monthly meetings but can call a general meeting if needed.

4.     A quorum for a Committee meeting is 5

It is expected that all Committee members will attend all meetings where possible. Any member of the Committee who is absent for 2 consecutive meetings without reasonable excuse will be deemed to have vacated the position. It is at the discretion of the Committee as to what is deemed as a reasonable excuse




14. Meetings

  1. Meetings will be set at the end of previous meeting and recorded within the minutes.
  2. The agenda shall be emailed out to all committee members prior
  3. Minutes shall be emailed out no later than one week after meeting.


15. Voting at committee meetings

  1. Each member of the committee is entitled to one vote
  2. Voting shall be restricted to a vote for each member present at a meeting.
  3. In the event of an equal vote the president shall have a casting vote along with their deliberative vote
  4. Voting will be by show of hands or voice by those present. However, if a member requests a secret ballot before a vote by voice or hands then voting must be done by secret ballot. If a secret ballot is held, the President will have a casting vote.


16. Annual general meetings

  1. The Club Secretary will give notice of the Annual General Meeting (AGM). Not less than 14 clear days’ notice to be given to all members.
  2. The AGM will receive a report from officers of the Committee and a statement of the accounts.
  3. Nominations for officers of the Management Committee will where possible be sent to the Secretary prior to the AGM.  Nominations can also be made during the AGM.
  4. Elections of officers and committee members are to take place where possible at the AGM and by way of a vote.
  5. All members have the right to vote at the AGM.
  6. The quorum for AGMs will be 20% of the membership at that time (in  the case of multiple members from 1 family who are minors then in % count 1 person per family for quorum purposes).
  7. The Committee has the right to call Extraordinary General Meetings (EGMs) outside the AGM. Procedures for EGMs will be the same as for the AGM.


17. Financials

  1. The Club Treasurer will be responsible for the finances of the club.
  2. The financial year of the club will end at the 31st October.
  3. A statement of annual accounts will be presented by the Treasurer at the Annual General Meeting.
  4. Prior to the AGM every year, the financial statements and balance sheets shall be examined and the correctness thereof ascertained by an independent person.
  5. The secretary on behalf of the club shall file the return required of the incorporated society’s act 1908 or by such statutory provisions for the time being in force with dealing with such clubs and societies
  6. There will be three signatories on the bank account and 2 persons to sign jointly. These are nominated by the committee.


18. Discipline and appeals

  1. All complaints regarding the behavior of members should be submitted in writing to the Secretary.
  2. The Committee will meet to hear complaints within 7 days of a complaint being lodged. The committee has the power to take appropriate disciplinary action including the termination of membership.
  3. The outcome of a disciplinary hearing should be notified in writing to the person who lodged the complaint and the member against whom the complaint was made within 7 days of the hearing.
  4. There will be the right of appeal to the Committee following disciplinary action being announced. The Committee should consider the appeal within 7 days of the Secretary receiving the appeal.

19. Umpires

  1. The Club will provide umpires to competitions as per the Selwyn Netball Centres requirements. It is important that the umpires we provide be of the ability and level to umpire the grades required.
  2. Banks Peninsula Netball Club takes the view that all senior players are to be involved in umpiring games and will be encouraged to obtain the umpiring levels provided.
  3. The umpire co-ordinator for Banks Peninsula Netball Club shall ensure that necessary training and courses for umpires are made available to all umpires as appropriate.
  4. Year 7 and 8 players shall be able to put their names forward to the Club for consideration as Trainee Umpires to Year 5/6 games.


20. Dissolution

  1. A resolution to dissolve the club can only be passed at an AGM or EGM through a majority vote of the membership.
  2. In the event of dissolution all surplus property (if any) after payment of all costs, debts and liabilities shall be transferred to a non-profit making sporting club within the Canterbury region.


21. Amendments to the constitution

The constitution will only be changed through agreement by majority vote at an AGM or EGM.


22. Common seal

The committee shall provide for the safe custody of the common seal of the club, which shall be used only with the authority of the committee and every instrument to which the common seal is affixed shall be signed by the president and shall be countersigned by the secretary, vice president or treasurer.




23. Declaration

Banks Peninsula Netball Club hereby adopts and accepts this constitution as a current operating guide regulating the actions of members.
