Notice of Annual General Meeting of

Snow Sports New Zealand Incorporated 

Notice is given to the Snow Sports New Zealand (“Snow Sports NZ”) Board and Members that an Annual General Meeting (“AGM”) of Snow Sports NZ will be held commencing at 4pm on Friday September 25, 2026. The meeting will take place at the Snow Sports NZ Office, 78 Anderson Road, Wānaka. Members who are unable to attend the AGM in person will have the opportunity to join online. 

Quorum

No fewer than five percent of members entitled to vote are required to be present either in person or online to meet the quorum for the AGM.  Members attending the AGM online will count towards the quorum and will be able to cast their vote in real time online. Proxies and votes by electronic voting ahead of time do not count towards the quorum. 

Attendance and Delegates 

Individual members will be asked to notify their attendance at the AGM either in person or remotely. An attendance form will be provided to members separately. Attendance at the AGM must be notified by 3pm on Thursday September 24, 2026.

As per the constitution, each club that is of good standing may elect or appoint a delegate to represent it at the AGM.  Delegates have the right to speak but not to vote at the AGM.  The names of delegates attending the AGM must be forwarded in writing to the Chief Executive by 3pm on Thursday September 24, 2026, by emailing ceo@snowsports.co.nz.

Voting Information

Members entitled to vote are those 16 years of age and over who are Individual Members and the Chairperson (but only for the purposes of a casting vote). 

Members can vote during the AGM or by casting a Postal or Electronic Vote. Postal Votes must be made on the prescribed form and this must reach the Returning Officer no later than 3pm on Wednesday September 23, 2026. Electronic voting will be available via the Snow Sports NZ website from 3pm Wednesday September 2, 2026 until 3pm on Wednesday September 23, 2026. Postal voting forms and proxy forms will be sent with the AGM documents on Wednesday September 2, 2026.

 If a member entitled to vote chooses to exercise their vote by appointing a proxy to attend the AGM, the member must sign a Proxy Form. Proxy voting forms must reach the Chief Executive no later than 3pm on Thursday September 24, 2026.

Board Vacancies 

The call for Board nominations was advertised through Appoint Better Boards, opening on 26 June, 2026 and closing on 17 July, 2026. Vacancies were advertised via Snow Sports NZ digital channels and Appoint Better Boards. The AGM Agenda will advise members of the Board Appointment Panel’s decisions regarding appointed Board Members and provide a recommendation to members for the elected board member positions.   

Proposed Motions 

Any proposed motions (including alterations to the Constitution) and other items of business from Members and/or the Board of Snow Sports NZ must be received in writing by the Chief Executive by 3pm on Wednesday 26 August 2026, by emailing ceo@snowsports.co.nz. We apologise for the tightness of this deadline.
