TE RINGA KAHA NETBALL CLUB INC

CONSITUTION

Written December 2011

RULE 1: TITLE
The name of the Club shall be Te Ringa Kaha Netball Club here in after.

RULE 2: REGISTERED OFFICE
The Club shall be registered to the Manurewa Netball Centre.

RULE 3: OBJECTS
The Objects of the Club shall be:
(a) To promote and/or play the game of netball to the benefit of its members;
(b) To encourage any further social events to the benefit of its members;
(c) Administer, promote and develop netball in the club;
(d) Enforce the rules and regulations of netball;
(e) Encourage participation and achievement in netball;
(f) Encourage and promote netball as a sport to be played in a manner which uphold the principles of fair play;
(g) Maintain and enhance the reputation of the Club, Manurewa Netball Centre, Regional
Netball and Netball New Zealand;
(h) Provide information, assistance and resources to its members;
(i) Develop and train players, officials and other personnel involved in netball;
(j) At all times to act on behalf of, and in the interests of, the members and netball;
(k) Determine, raise and receive monies by subscriptions, fees, levies, donations and
government funding for the promotion of the Club;
(l) Determine, implement and enforce disciplinary procedures for its members;
(m) Determine who its members are;
(n) Award, grant or otherwise honour achievement and service to the Club;
(o) Undertake research about the Club;
(p) Club shall pay for any courses/classes that they see will benefit the Club


RULE 4: SEAL

The Club shall have a Common Seal, which shall be held by the Club President and affixed to any documents only in the presence of two members of the Executive Board and pursuant to a resolution of the Executive Board.


RULE 5: MEMBERSHIP
The Membership of the Club shall consist of:
(a) Life members;
(b) Current playing members;
(c) Coaches;
(d) Non-playing members;
(e) All current financial members shall receive from the Secretary a copy of the constitution.
A condition of membership is that the rules of the Manurewa Netball Centre and the Club shall
be adhered to at all times.

RULE 6: LIFE MEMBERSHIP
The distinction of life membership may be conferred for outstanding service to the Club.
(a) The distinction shall be conferred only at the Annual General Meeting;
(b) No person shall be elected to life membership of the Club unless the affirmative votes are
no less than two-thirds (2/3) of the total voting strength of the meeting.  Each nominee shall
leave the room while their votes are counted.
(c) The distinction shall carry with it the right to attend and speak at all meetings of the Club
except executive meetings, and may only vote if qualified or has the President's permission;
(d) The life member shall not incur any fees.

RULE 7: OFFICERS
The Officers of the Club shall be elected at the AGM and shall consist of:
(a) President;
(b) Vice President;
(c) Secretary;
(d) Treasurer;
(e) Uniform & Equipment Officer
(f) Captain/s or Manager/s of team/s
(g) Head Coach;
(h) Assistant Coach/es

Officers (a) – (e) will form the minimum of the Club Executive Committee.

RULE 8: MEETINGS OF THE EXECUTIVE
(a) All accounts of the Club shall be passed for payment by the Executive;
(b) Meet once a month during the netball season and bi-monthly out of season;
(c) All cheques drawn on the Club uniform account shall be signed by any two (2) of the following: President, Uniform Officer, Treasurer and Secretary;
(d) All cheques drawn on the Club main account shall be signed by any two (2) of the
following: President, Secretary and Treasurer.

RULE 9: DUTIES OF OFFICERS
PRESIDENT:
(a) Shall hold the chair at all Annual General, Special and Executive meetings.
(b) Be responsible for liaising with all members and Coach/es.
(c) Shall apply to funding organisations on behalf of the Club.
(d) Shall hold the postal address of the Club for the funding.

VICE PRESIDENT:
(a) Shall hold the chair and all President duties in the absence of the President.

SECRETARY:
(a) Shall hold the postal address of the Club for the term of their office with the exception of
the President's duties.
(b) Shall keep a record of name and addresses of all Club members.
(c) Be responsible for all correspondence with the exception of President's duties.
(d) Shall keep a record of minutes for all Executive, Special and Annual General Meetings.
(e) Keep a record of all Executive members attending Executive meetings. If any Executive Committee member misses two (2) consecutive meetings without leave of absence the Secretary shall notify them that failure to attend the next meeting shall result in immediate forfeiture of the Office.
(f) Shall provide Coach/es with a copy of the Manurewa Netball Centre rules.
(g) Shall circulate copies of the minutes of Executive meetings to all Executive members.
(h) Shall submit an agenda paper to all meetings.
(i) Shall conduct the correspondence of the Club under the direction of the Executive and
keep copies of all such correspondence.
(j) Present the Presidents annual report for consideration at the Executive meeting prior to
the Annual General meeting.
(k) Shall provide a copy of the Club constitution and Club rules to all members.

TREASURER:
(a) Receive all money and pay it into such an account of the Club as the Executive shall direct.
(b) Submit financial statement at all Executive meetings.
(c) Pay all accounts, such payments to be ratified at the next Executive meeting.
(d) Prepare the annual statement and submit the accounts to the AGM.

HEAD COACH:
(a) Shall be responsible for the training and management of the premier team.
(b) Must be able to provide the necessary time for practices and attend training courses/classes
to further their skill level.

ASSISTANT COACH/ES:
(a) Shall be responsible for the training and management of their respective team.
(b) Must be able to provide the necessary time for practices and attend training courses/classes
to further their skill level.

UNIFORM AND EQUIPMENT OFFICER:
(a) Shall keep records of and distribute all uniforms, bibs and equipment, the upkeep of these
is the responsibility of the recipient.
(b) Issue Uniform contract to recipient when distributing uniforms and equipment. These are to
be read and signed by recipient then handed back to the Uniform Officer.            
(c) Uniform officer is responsible for all uniform and equipment records.

CAPTAIN/S or MANAGER/S:
(a) Advise their respective team/s on Manurewa Netball Centre and Club rules.
(b) Confer with Coach and team in respect of practices and game.
(c) Advise team of game and warm-up times.
(d) Shall carry a note book and keep records of game date's and time's, positions for each quarter, quarter time score's and absent players.
(e) Organise umpires for each game.

RULE 10: ANNUAL GENERAL MEETINGS
(a) The Annual General meeting (of which at least two weeks advertised notice shall be
given) will be held prior to the start of the new season:
(b) The purpose of the AGM shall be:
1. Roll Call
2. Confirmation of minutes
3. Presentation of the annual statement.
4. Election of Officers and Executive for the ensuing year.
5. Determination of annual fees and levies.
6. Appoint one delegate to Manurewa Netball Centre Executive
7. Consideration of remits (all remits shall be in the hands of the secretary prior to the AGM).
8. General Business.

RULE 11: SPECIAL MEETINGS
A Special meeting of the Executive shall be called by the Secretary upon instructions from the President or upon receipt of a request setting out the objects of such meetings and signed by
at least three (3) members of the financial membership;
(a) Upon receipt of a request for a special meeting not less than seven (7) days written
notice must be given to each member by the Secretary of:
(b) The date and place for the Special meeting, and
(c) The item/s of business to be discussed.

RULE 12: VOTING
Voting at all meetings shall be:
(a) One (1) vote per financial member, this includes all executive and special meetings;
(b) No proxy votes shall be permitted, written or otherwise;
(c) Voting at meetings shall be by ballot if requested by any person entitled to vote.

RULE 13: QUORUMS
(a) A quorum shall be set at 25% of the financial membership for all AGM’s
(b) A quorum shall be set at 60% of the Executive Committee for all Executive meetings.

RULE 14: TRANSFERS
(a) A member may only apply to the President for a transfer or release from the Club. This
will only be approved after all financial and uniform matters are settled and Club Trophies
are returned.
(b) The President shall liaise with the Treasurer and Uniform & Equipment Officer.
(c) Only the President and Treasurer have the privilege to sign any clearance forms.

RULE 15: DUES OR FEES
(a) The annual subscription shall be decided at the AGM.
(b) These fee's shall be paid by the 1st May.
(c) Fees paid after this date shall incur a twenty dollar ($20) penalty.
(d) Any member that has arranged with the Executive to pay fees by regular instalments shall be exempt from penalties only after the club executive have met and discussed such arrangements;
(e) On-call /replacement players will pay Club fee's at the discretion of the Executive.

RULE 16: WINDING UP
If upon winding up or dissolution of the Club there remains after the satisfaction of all its debts and liabilities any property whatsoever the same shall not be paid or distributed among the members of the Club but shall be given or transferred to some other organisation or body with similar objects to the first organisation that also has an income tax exemption or for some other charitable purpose within New Zealand.

One months notice in writing of the proposed winding up shall be sent to all members of the Club.

The decision to wind up the Club shall be effective if a simple majority of those present and eligible to vote are in favour provided this decision is confirmed at a further meeting of the Club.

RULE 17: INDEMNITY CLAUSE
The Executive and members of the Club shall be indemnified by the Club against all losses and expenses incurred in or about the discharge of their duties, except such as happens to be by their own free wilful act, neglect or default. No member of the Executive shall be responsible for any other member of the Executive or any Officer, or for loss caused through or by the insufficiency of value, or title to, any property or security acquired or taken on behalf of the Club.

RULE 18: PERSONAL BENEFIT CLAUSE
(a) Any income, benefit or advantage shall be applied to the purposes of the Club.
(b) No individual member or associated person shall receive any form of private income, benefit or advantage from this organisation.
(c) No member of the Club or any person associated with a member shall participate in or materially influence any decision made by the organisation in respect of the payment to or on behalf of that member or associated person of any income, benefit or advantage whatsoever.
(d) Any such income paid shall be reasonable and relative to that which would be paid in an arm’s-length transaction (being the open market value).

RULE 19: ALTERATION TO RULES/CONSITITUTION
(a) The rules of the Club may be altered, added or re-worded at the Annual General or Special Meeting provided sixty percent (60%) of the voting strength of the meeting is in favour.
(b) Details of all proposed alterations shall be circulated with notice of the meeting at which they will be considered;
(c) No addition to or alteration of the objects, personal benefit or winding up clause shall be approved without the approval of the Inland Revenue Department, and the provisions and effect of this clause shall not be removed from this document and shall be included and implied into any document replacing this document.
